We are hiring on behalf of our client, a leading provider of corporate services, for the position of Company Secretary Assistant Manager. This is a key role based in Dubai, supporting governance and compliance for client entities across multiple jurisdictions.
Role Overview
The Company Secretary Assistant Manager will be responsible for delivering high-quality company secretarial services, ensuring compliance with regulatory and statutory requirements, and supporting best practices in corporate governance for both client and internal entities.
Key Responsibilities
Serve as Company Secretary for client entities in the UAE and international jurisdictions (e.g., BVI, Cayman Islands, ADGM, DIFC).
Provide company secretarial support for internal group companies.
Manage governance documentation, including resolutions, meeting minutes, and statutory records.
Ensure compliance with regulations such as Economic Substance, AML, and UBO reporting.
Liaise with legal authorities and regulatory bodies (e.g., DIFC, ADGM, DED) on behalf of clients.
Support board and shareholder meetings, including agenda preparation and minute-taking.
Assist with onboarding, KYC processes, and the preparation of legal documents.
Handle company incorporations, restructuring, re-domiciliation, and liquidations.
Work closely with internal departments (legal, compliance, operations) to ensure seamless service delivery.
Support clients with banking documentation and visa processing where needed.
Candidate Profile
Qualifications & Experience
Legally qualified or a certified Company Secretary (CGI UK, ICSI, or equivalent).
4–6 years of experience in a similar role, ideally in a fiduciary or professional services firm.
Strong understanding of corporate law in the UAE and major offshore jurisdictions.
Experience working with HNW clients, family offices, or institutional structures is preferred.
STEP qualification and knowledge of trusts and foundations are advantageous.
