Kilpatrick, a large international law firm, is seeking a Corporate Paralegal for our Corporate Department in our offices across Chicago, Atlanta, Raleigh, Winston, Dallas, Houston, New York, and Washington, DC. Under attorney supervision, the Corporate Paralegal will support various corporate and commercial transactions, working as part of a team to deliver high-quality service to clients and internal stakeholders.

Essential

Job Functions

Draft closing and routine documents for corporate transactions, including mergers, acquisitions, UCC, SEC, Blue Sky, 40 Act, and compliance filings.

Organize and assemble documents, financial data, and corporate records; summarize documents as needed.

Manage large closings, prepare closing memoranda, and organize closing binders.

Prepare and file documents related to partnerships and business entities.

Incorporate, organize, and qualify corporations, LLCs, and partnerships.

Attend corporate board and shareholder meetings.

Draft and maintain corporate minutes and bylaws.

Organize publications, hearings, and shareholder mailings.

Prepare correspondence regarding client matters.

Conduct research on filings with UCC, SEC, Secretary of State, and other government entities; coordinate search efforts.

Analyze corporate histories and records.

Research corporation indexes for articles of incorporation, amendments, and suspensions.

Prepare, proof, and file documents such as Forms 8-K, 4, and 10-Q.

Manage stock certificates and maintain stock records.

Prepare annual meeting scripts, resolutions, and other corporate actions.

Knowledge and Skills Required

Bachelor’s degree or equivalent experience required.

Paralegal certification preferred.

At least 3 years of relevant experience, especially in managing corporate transactions.

Law firm experience is preferred.

Experience with SAAS-based capitalization software (including CARTA).

Proficiency with Microsoft Office, Adobe Acrobat, Lexis/Nexis, Westlaw, and other research tools.

Excellent organizational, communication, and problem-solving skills.

Ability to work independently, handle multiple tasks, and maintain professionalism under stress.

Confidentiality and reliability are essential.

This is a full-time position with comprehensive health benefits, retirement plans, and a hybrid work schedule. Compensation varies by location, with specific hourly ranges provided for each city.
