Job Summary

We are seeking a highly organized and detail-oriented Corporate Secretary to manage and oversee the incorporation of new entities across multiple jurisdictions. This role will be responsible for ensuring compliance with local regulations, coordinating with external service providers, and facilitating the smooth establishment of legal entities in new countries.

Key Responsibilities

Lead and manage the incorporation of new companies in various jurisdictions, ensuring compliance with local corporate governance laws.

Liaise with legal advisors, Bankers, regulatory authorities, and service providers to facilitate the company setup process.

Prepare, review, and submit incorporation documents, including articles of association, board resolutions, and statutory filings.

Maintain corporate records, statutory registers, and ensure timely filings with local authorities.

Provide guidance on corporate governance matters and regulatory requirements in different countries.

Coordinate with internal stakeholders, including Group Company Secretrary, Finance/Tax, Corporate Finance and Corporate Strategy to support entity formation and operational readiness.

Stay updated on international corporate compliance regulations and advise on best practices for entity establishment.

Assist with post-incorporation tasks such as obtaining business licenses, tax registrations, and opening corporate bank accounts.

Support due diligence and risk assessment processes related to new entity incorporation.

Required Qualifications & Experience

Bachelor’s degree in Corporate Admin/Secretary, Business Administration, or a related field.

ICSA/CGI (Chartered Governance Institute) qualification or equivalent certification

2+ years of experience in corporate secretarial roles, preferably with a focus on international entity incorporation.

Strong knowledge of corporate governance principles and company law across multiple jurisdictions is a plus

Experience working with external service providers, bankers and regulatory bodies.
