The Corporate Secretary will play a pivotal role in the success of the Executive Leadership Team and Board of Directors. The Corporate Secretary is responsible to ensure that the corporate governance framework for the Association is properly designed, implemented, and maintained. Though the position incudes administrative component, meticulous attention to detail, sound judgement, and strong people skills are all equally important in this position.

Duties & Responsibilities:

Demonstrates understanding of and models association culture and core standards.
Works with the CEO and Executive Leadership Team to prepare agendas and present materials for meetings of the Board of Directors.
Calendars meetings, deadlines, and attends board and/or committee meetings, recording minutes of those meetings that accurately describe and communicate the discussions and actions of the Board and/or its committees.
Reviews, prepares, and distributes board materials containing background information to assist with board and committee meeting preparation.
Prepares minutes of meetings, records, and reports Director attendance accurately for corporate records and expense reporting purposes.
Researches and compiles information and materials from Directors or management for the Annual Report to Stockholders.
Monitors corporate governance and other developments that the board and/or committees need to know to take the steps necessary to comply with regulatory requirements.
Ensure all bylaw changes/revisions are processed in accordance with Association and AgFirst Farm Credit Bank policy.
Keeps and maintains the Association’s corporate records including by-laws, corporate structure, organizational chart, policies, etc.
Supports the technology used to prepare and distribute materials, conduct meetings, and facilitate board and committee activities while being mindful of privacy and confidentiality concerns.
Manages logistics for board meetings and travels with the Board and Executive Leadership Team to various off-site meetings.
Facilitates director education and board and committee assessments.
Operates with considerable independence and resolves problems with strong professional judgement and communication skills.
Maintain a calendar/schedule for the CEO of significant events, appointments, meetings and assists in accurate and timely preparation of information necessary for those meetings.
Other duties as assigned, which may include specific projects.
Participate in continuous learning activities to sustain knowledge of the industry, management practices, and Association policies, procedures, and guidelines.

Skills & Qualifications:

Bachelor’s Degree with at least 7 years of combined experience and education in business, finance, legal studies, governance or related field is preferred, with experience in:
Corporate and regulatory compliance
Working with Board of Directors and executive leadership
Managing board governance.

Other Skills & Abilities:

Extensive knowledge of corporate and Board functions and Bank regulations.
Ability to communicate (written and verbal) effectively.
Completes tasks accurately and timely.
Ensures timely follow up.
Possess a high degree of accuracy and efficiency.
Ability to work independently and to maintain confidentiality.
Excellent computer skills.
Knowledge of Farm Credit and Association’s policies and procedures.
