Position: Corporate Law Clerk – Permanent – 17042
About the Opportunity
Our client is a mid-sized law firm located in downtown Ottawa. There is an immediate need for 2 experienced corporate law clerks to join their business law group on a full-time, permanent basis.
Duties
include but are not limited to:
Assisting with the preparation of corporate and closing documents for financings and acquisitions
Assisting with the preparation of documents for general corporate matters including incorporations, amendments, dissolutions and other reorganizations
Maintaining and updating corporate minute books, as well as conducting minute book reviews
Maintaining and updating lists of active and inactive companies
Assisting with conducting corporate due diligence
Assisting with extra-provincial, business name, partnership and other registrations
Performing corporate and PPSA searches and filings
About You
The successful candidate will have the following:
Law Clerk Diploma/Certificate
A minimum of three years experience
Understanding and familiarity of corporate statutes (OBCA, CBCA, not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures
Excellent writing skills required to draft documents, reports and correspondence
Strong organizational skills and ability to effectively manage conflicting documents
